Edwyna Terms of Use

These Terms of Use ("Terms") govern access to Edwyna.com, Edwyna account pages, and the Edwyna fax application programming interface (collectively, "Edwyna" or the "Service"). By creating an account, accepting these Terms, or using the Service, you agree to these Terms and the Edwyna Privacy Policy. If you use Edwyna for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

1. Eligibility and accounts

You must be at least 18 years old and legally capable of entering into these Terms. You must provide accurate current account information and maintain the security of your password, email account, telephone number, API keys, software, and authorized agents.

An account belongs to a person or legal organization. Account registration may not be automated. You may not transfer, sell, or share an account with an unrelated party. You must promptly notify support@edwyna.com of suspected unauthorized access.

2. Authorized API and artificial-intelligence use

Edwyna is designed for authorized use through its API. You may permit software, including an artificial-intelligence system or agent, to use an API key issued by your account. This permission is limited by the scopes, destinations, spending limits, sending limits, expiration, and other restrictions assigned to that key.

You are responsible for every request and fax made with your account or API keys, including requests generated by an authorized agent. An agent is your tool and is not an agent, employee, or representative of Savetz. You are responsible for reviewing agent inputs and outputs, selecting the correct fax number and document, obtaining necessary permissions, and deciding whether a fax should be sent.

You may not automate account creation, payment controls, credential rotation, or any process intended to bypass a security, review, destination, or usage limit. You may not place an API key in a public repository, shared prompt, fax document, URL, or other insecure location.

3. Service limits

Edwyna currently provides outbound API faxing to supported United States and Canadian destinations. Each API request may identify one recipient and include one qualifying PDF of no more than the page limit stated in the current price quote, presently 25 pages.

Supported destinations, document requirements, prices, maximum pages, account limits, and API-key limits may change prospectively. A quote is valid only for its stated period. Edwyna may reject a destination, prefix, document, request, account, payment, or transmission for security, legal, operational, provider, or abuse-prevention reasons.

4. Prepaid Edwyna credit and charges

Faxing is prepaid. Available funding amounts and fax prices are shown before a purchase or fax submission. Edwyna credit:

• may be used only to purchase Edwyna services;
• is not a bank account, deposit, payment instrument, or transferable currency;
• has no cash value, cannot be transferred between customers, and does not accrue interest;
• does not expire while the account remains open; and
• is nonrefundable, including when an account is closed, except where a refund is required by law.

You authorize our payment processor to charge the payment method you select. Payment-card information is handled by the payment processor. Chargebacks, reversals, or suspected payment fraud may result in removal of associated credit, suspension, or termination.

Edwyna charges the quoted amount when a fax is accepted for sending. An eligible final transmission failure restores the charge as Edwyna account credit; it does not reverse or refund the original payment method. A fax sent to an incorrect number supplied by you, a fax received by an unintended person because of your input, or a fax that the intended recipient disregards may not qualify as a failed transmission.

5. Prohibited uses

You may not use or allow another person or agent to use Edwyna:

1. for advertising, marketing, promotional campaigns, bulk faxing, broadcast faxing, chain messages, or junk faxes, whether solicited or unsolicited;
2. to harass, threaten, defraud, impersonate, deceive, intimidate, or cause harm;
3. to send unlawful, defamatory, obscene, exploitative, malicious, or abusive material;
4. to violate another person's privacy, confidentiality, publicity, intellectual-property, contractual, or other rights;
5. to transmit malware, active code, encrypted payloads, embedded files, forms, or other prohibited document features;
6. to discover, test, scrape, enumerate, validate, or compile fax numbers or to determine whether a number reaches a person, fax machine, or organization;
7. to evade consent, identification, opt-out, recordkeeping, professional, or other legal requirements;
8. to bypass limits, conceal identity, create deceptive sender information, interfere with the Service, probe security, or use another customer's credentials;
9. for an emergency communication or any situation in which delay, failure, or misdelivery could cause death, injury, or material harm; or
10. in any manner that violates applicable law or regulation.

There is no bulk endpoint. Repeated one-recipient calls intended to create a campaign are prohibited. You are solely responsible for the lawfulness of each fax and for maintaining evidence of consent or authority where applicable.

6. Fax content and recipient information

You retain ownership of content you submit. You grant Savetz and its service providers a limited license to receive, validate, transform as technically necessary, transmit, store temporarily, and otherwise process the content only to operate, secure, support, and enforce the Service.

You represent and warrant that you have all rights and authority necessary to submit the content and sender and recipient information; the information is accurate; the intended recipient is authorized to receive the content; and the fax complies with law and these Terms.

Fax transmission necessarily discloses content and sender and recipient information to backend fax provider(s), telecommunications networks, the recipient's fax system, and people with access to that system. You are responsible for assessing whether fax is appropriate for the information and recipient.

7. Health information and HIPAA

These Terms do not generally prohibit health-related documents. However, Edwyna is not currently offered, represented, or warranted as a service that complies with the Health Insurance Portability and Accountability Act (HIPAA), and Savetz does not currently enter into business associate agreements for Edwyna.

If you are a HIPAA covered entity or business associate, you are responsible for determining whether your use requires a business associate agreement with Savetz. You must not use Edwyna in circumstances in which such an agreement is legally required unless Savetz separately agrees to one in writing. A statement by a backend provider concerning its own HIPAA capabilities does not make Edwyna as a whole HIPAA compliant.

8. Delivery and status

Fax delivery is not guaranteed. Status information is based on technical signals from systems involved in transmission and may be delayed, incomplete, or incorrect. A "delivered" status generally means that a receiving fax system reported a completed transmission; it does not prove that a particular person received, read, understood, accepted, or legally received the document.

Edwyna is not a registered-mail, service-of-process, filing, medical-emergency, or guaranteed-delivery service. You are responsible for satisfying deadlines, confirming legally significant delivery through appropriate means, and using an alternative method when necessary.

9. Monitoring, enforcement, and cooperation

We may use automated and manual measures to detect fraud, prohibited content, unlawful faxing, excessive use, compromised credentials, and threats to the Service. We may delay, reject, cancel, retain evidence concerning, or report a fax when reasonably necessary for safety, security, support, enforcement, or legal compliance.

We may suspend or terminate an account, revoke API keys, reduce limits, or preserve information if we reasonably believe the account presents risk, violates these Terms, creates legal exposure, has a disputed or reversed payment, or threatens the Service or another person. We are not required to provide advance notice when immediate action is reasonably necessary.

10. Privacy

Our collection, use, disclosure, and retention of information is described in the Edwyna Privacy Policy. You are responsible for providing any notice and obtaining any authorization required before submitting another person's information.

11. Intellectual property

The Service, software, documentation, design, trademarks, and other Savetz materials are owned by Savetz or its licensors. Subject to these Terms, Savetz grants you a limited, revocable, nonexclusive, nontransferable right to access the Service and documentation for your internal use of Edwyna. No right to resell, sublicense, copy, reverse engineer, or create a competing service is granted except to the extent a restriction is prohibited by law.

12. Third-party services

The Service depends on payment processors, backend fax providers, telecommunications networks, hosting, email delivery, and other third-party services. Their acts, omissions, outages, rules, and processing may affect Edwyna. Third-party terms may apply to information processed directly by those parties.

13. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDWYNA IS PROVIDED "AS IS" AND "AS AVAILABLE." SAVETZ DISCLAIMS EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AVAILABILITY, ACCURACY, DELIVERY, AND LEGAL OR REGULATORY FITNESS. SAVETZ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT A FAX WILL BE DELIVERED OR READ, OR THAT THE SERVICE IS APPROPRIATE FOR A PARTICULAR RECORD, INDUSTRY, DEADLINE, OR LEGAL OBLIGATION.

Some jurisdictions do not allow certain disclaimers, so some of the foregoing may not apply to you.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAVETZ AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, PRIVACY, BUSINESS, OR GOODWILL; OR THE COST OF SUBSTITUTE COMMUNICATIONS, ARISING FROM OR RELATED TO EDWYNA, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF SAVETZ AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, CONTRACTORS, AND SERVICE PROVIDERS FOR DIRECT DAMAGES ARISING FROM OR RELATED TO EDWYNA WILL NOT EXCEED THE LESSER OF (A) THE AMOUNTS PAID TO EDWYNA DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

These limitations do not apply where prohibited by law.

15. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Savetz and its owners, officers, employees, affiliates, contractors, and service providers from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys' fees arising from your account, agents, API keys, fax content, sender or recipient information, violation of these Terms, violation of law, or infringement or violation of another person's rights.

Savetz may control the defense and settlement of a covered claim. You may not settle a claim in a manner that admits fault by or imposes an obligation on Savetz without written consent.

16. Closing an account

You may ask support@edwyna.com to close your account. Closing an account revokes access and API keys but does not erase records that we retain under the Privacy Policy. Unused Edwyna credit is nonrefundable except where required by law. Sections that by their nature should survive termination—including payment obligations, ownership, disclaimers, liability limits, indemnification, records, and governing law—will survive.

17. Changes

We may change these Terms prospectively by posting an updated version and effective date. We will provide reasonable advance notice through the Service or by email before a material change takes effect. We may require renewed acceptance before further funding, API-key creation, or fax transmission. A change will not apply retroactively unless required by law or expressly agreed.

18. Governing law

These Terms and disputes arising from them or the Service are governed by the laws of the State of Oregon, without regard to conflict-of-law principles. Nothing in these Terms specifies an exclusive county or court venue.

19. General provisions

These Terms and the Privacy Policy are the entire agreement concerning Edwyna unless Savetz and you sign a separate written agreement. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without written consent. Savetz may assign them in connection with a merger, reorganization, sale, or transfer of the Service. Headings are for convenience only.
